1. Introduction
These Terms of Service ("Terms") govern your access to and use of the KarVerifi platform, APIs, hosted onboarding flows, embed widgets, and dashboards (collectively, the "Services"), operated by Karrabo Financial Solutions Limited ("KarVerifi", "we", "us").
By creating an account, accessing the dashboard, calling an API endpoint, or embedding a hosted flow, you agree to these Terms on behalf of yourself and the entity you represent. If you do not agree, do not use the Services.
2. Definitions
- Tenant — the business entity that has entered into these Terms and holds an active KarVerifi account.
- End-User — the natural person whose identity is being verified through a workflow the Tenant has published.
- Workflow — a Tenant-defined ordered set of checks (BVN, NIN, phone, account enquiry, KYB) exposed via API, hosted link, or embed.
- Wallet — the prepaid balance from which per-check fees are debited.
- Sandbox — the isolated non-production environment for testing; sandbox activity never touches real KYC registries or real wallet funds.
3. Services provided
KarVerifi provides identity verification and onboarding tooling built on Nigerian registries (including BVN and NIN) and third-party KYC providers. The Services comprise:
- A REST API for creating, cancelling, and querying verifications, workflows, webhooks, and wallet operations.
- A hosted onboarding UI reachable at a public URL, plus an embeddable widget for in-app flows.
- A dashboard for workflow authoring, verification review, wallet top-up, API-key management, and webhook delivery inspection.
4. Acceptable use
You agree not to use the Services to:
- Verify persons without a lawful basis or without their informed consent.
- Circumvent, disable, or interfere with security or rate-limit features.
- Resell raw KYC registry data or expose verification results to unrelated third parties.
- Send us data you do not have the right to send, or use the Services to harass, defraud, or discriminate.
- Reverse-engineer, scrape, or replicate the Services except as permitted by applicable law.
We may suspend or terminate access without notice for activity we reasonably believe violates this section.
5. User obligations
You are responsible for:
- Consent. Obtaining and documenting informed consent from every End-User whose data you submit for verification, before you initiate any check.
- Credentials. Keeping your API keys, webhook signing secrets, and dashboard passwords confidential. You are liable for actions taken under your credentials.
- Accuracy. Submitting truthful, accurate data. KarVerifi is not responsible for incorrect verification outcomes caused by inaccurate input.
- Compliance. Complying with the NDPR, CBN circulars, NITDA guidance, sector-specific regulations that apply to you, and all applicable Nigerian and international law.
6. Fees and billing
KarVerifi operates on a prepaid wallet model. You top up your wallet in Naira via our wallet processor (Karrabo); the balance is debited per successful check according to the price catalog visible in your dashboard.
- Prices are per-product and are subject to change with at least 30 days' notice delivered by email and posted in your dashboard.
- Failed and cancelled verifications are not billed, except where an upstream registry has already been invoked and imposes a per-call cost.
- Sandbox usage is free. Test wallet balances are simulated only.
- You may withdraw an unused wallet balance at any time by contacting billing@karverifi.com; withdrawals are net of processor fees.
- We do not offer refunds for consumed checks except where a check has failed due to a fault on our side.
7. Data ownership and processing
You retain ownership of all data you submit to KarVerifi ("Tenant Data"), including End-User personal data. Under the Nigeria Data Protection Regulation ("NDPR") and the Nigeria Data Protection Act ("NDPA"), you are the data controller and KarVerifi acts as your data processor.
KarVerifi processes Tenant Data solely to deliver the Services, meet legal obligations, protect the Services against abuse, and generate anonymised aggregate metrics for internal analytics. We do not sell Tenant Data or use it to train third-party models.

8. Confidentiality
Each party will protect the other's Confidential Information with the same degree of care it uses for its own confidential information — and in no event less than reasonable care. "Confidential Information" includes non-public technical, financial, and commercial information exchanged in connection with the Services.
9. Intellectual property
KarVerifi and its licensors retain all right, title, and interest in the Services, including all software, SDKs, documentation, branding, and trained models. You receive a limited, non-exclusive, non-transferable licence to use the Services during the term of these Terms, solely as described in these Terms and the accompanying documentation.
You retain all rights in Tenant Data and in any workflows you build; we grant no ownership over your configurations or your customer data.
10. Warranties and disclaimers
We warrant that we will provide the Services with reasonable skill and care, consistent with industry practice for identity verification providers in Nigeria.
Except as expressly stated here, the Services are provided "as is" and "as available". To the fullest extent permitted by law, KarVerifi disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Verification outcomes reflect data returned by upstream registries and third-party providers at the time of the check. We do not warrant that any outcome constitutes a definitive determination of identity, eligibility, or creditworthiness.
11. Limitation of liability
To the maximum extent permitted by law, KarVerifi's aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the fees you paid to KarVerifi in the twelve months preceding the event giving rise to the claim, and (b) fifty thousand Naira (₦50,000).
In no event will either party be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill — even if advised of the possibility.
12. Termination
Either party may terminate these Terms for convenience on 30 days' written notice. Either party may terminate for cause immediately if the other materially breaches these Terms and fails to cure within 15 days after written notice.
On termination, KarVerifi will delete or return Tenant Data within 60 days, subject to any retention required by law. Sections that by their nature should survive termination (including confidentiality, IP, warranties, liability, and law) will survive.
13. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to either party's right to seek injunctive relief in any competent court.
14. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance by email to your account's billing contact and via a notice in the dashboard. Continued use after the effective date constitutes acceptance.
